These Terms and Conditions ("Agreement") govern the provision of services by VBE ("Company", "We", "Us", or "Our") to its clients ("Client", "You", or "Your") for both domestic and international transactions.
1. Scope of Services
We provide IT and software development services, including but not limited to:
- Custom software and application development
- Website and mobile app development
- IT consulting and system integration
- Maintenance and support
- UI/UX design
- AI solutions and digital transformation
The specific scope of services will be detailed in separate Service Level Agreements (SLA) or Project Proposals, which form an integral part of this Agreement.
2. Engagement and Contractual Relationship
A project will commence only upon:
- Written acceptance of the quotation or proposal
- Signing of an agreement or work order
- Initial advance payment as agreed
This Agreement remains binding throughout the duration of the project or service delivery period.
3. Pricing and Payment Terms
- All fees are subject to applicable GST (for Indian clients) or tax regulations in the client’s jurisdiction (for international clients).
- Payments must be made in the currency specified in the invoice (INR for domestic clients, USD/EUR/GBP or agreed currency for international clients).
- Payment terms: 50% advance, 30% on mid-project milestone, 20% on delivery, unless otherwise stated.
- Late payments may incur interest charges of 1.5% per month or the maximum allowed by applicable law.
4. Confidentiality and Data Protection
- Both parties agree to maintain the confidentiality of proprietary information.
- We comply with Indian IT Act, 2000, GDPR (for EU clients), and relevant data privacy regulations.
- Non-Disclosure Agreements (NDAs) may be signed as required.
5. Intellectual Property Rights
- All intellectual property developed during the course of a project shall remain the property of the Client upon full payment.
- The Company retains the right to display non-confidential work in portfolios or marketing materials unless explicitly restricted by the Client.
6. Delivery and Timeline
- Project timelines will be mutually agreed upon.
- Delays caused by Client-side dependencies (feedback, approvals, etc.) may affect delivery schedules.
- VBE shall not be held liable for delays due to circumstances beyond our control (force majeure, political instability, server downtime, etc.).
7. Warranties and Support
- We provide a warranty period of 30–90 days after delivery for bug fixes or issues arising from our code.
- Extended maintenance, upgrades, or change requests will be handled under a separate agreement or billed at our standard hourly rates.
8. Termination
- Either party may terminate the contract with 30 days written notice.
- Upon termination, the Client will pay for work completed up to the termination date.
- Source code and documentation will be handed over after final settlement.
9. Limitation of Liability
- VBE’s liability shall not exceed the total amount paid for the services.
- We shall not be liable for indirect, incidental, or consequential damages.
10. Jurisdiction and Dispute Resolution
- This Agreement is governed by the laws of India.
- In case of dispute, parties will first attempt resolution via mediation.
- Failing amicable resolution, disputes shall be subject to arbitration in [City], India, under the Arbitration and Conciliation Act, 1996.
11. Force Majeure
Neither party shall be held responsible for delays or failure in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, strikes, cyber-attacks, or governmental actions.
12. Amendments
We reserve the right to update these Terms and Conditions. Updates will be shared via email or reflected on our official website. Continued use of our services implies acceptance of the updated terms.
